These terms and conditions (the "Terms"), which are in addition to the website terms, privacy policy, and cookies policy, govern your access to and use of our services, including those provided through our websites, communications (such as emails, phone calls, and text messages), and mobile applications. By accessing or using the service, you make a legally binding agreement with Prooferr Ltd which is a limited company based in Manchesterand governed by English Law.

These conditions may occasionally apply to your use of the website as described below. Please take the time to carefully read the terms before using our website. You are not allowed to use the site and must stop using it and our services if you do not agree to the terms. If you are unable or unwilling to be bound by the terms, do not access or use the service.

Important: We connect people with each other. We do not check to see if a user has a genuine interest in a business's service or if a professional is qualified or licensed to provide the necessary service. We don't check business information or people's identities. Our role essentially consists of assisting others in connecting with one another in a convenient way and making connections easier. As a customer, it is completely up to you to make sure that any business or professional you connect with through our website is real and has the skills to meet your needs.

Businesses: We do everything we can to help you find qualified leads that are suitable for your needs, but we are powerless to make anyone buy your services or respond to a message from you. We also don't confirm our customers' identities. If you communicate with potential customers, you must abide by our clear rules. For more information, refer to the "Terms for Businesses" section below, under "Communication with Customer”.

Definitions

The following definitions apply to the terminology used in the Terms and Conditions for Customers:

When "we," "us," and "our" are used, "Prooferr", or “prooferr.com” refers to Prooferr Ltd.

You, as a "user" of the service, are referred to as "you" or "your" in any references.

A "user" is anyone who accesses or otherwise uses the service, and this can be an individual or a representative of a business or organization.

When we say "inquiry" or "request," we mean all the information you send us through our website or other ways, like emails, phone calls, and texts, that helps us find the pertinent service provider. This information comprises information about the requested service as well as your contact information, including your name, phone number, and email address.

When "customer", “potential customer” or "consumer” is used, they refer to "users" who have made an "inquiry" or already have a "customer account".

When "Business" is mentioned, it refers to a "user" who has a "Business Account" and wishes to provide services as a professional or as a business or an organization's representative.

Any customer account or business account is meant by the term "Account".

When "Customer Account" is mentioned, it refers to the login information for the capability that a "Customer" can access or utilize to discover service provider.

When "Business Account" is mentioned, it refers to the account used to access or utilize functionality as a "Business" in order to contact potential customers.

Any mention of "lead" or "leads" refers to a "inquiry" that was initiated by a "Customer" and may eventually result in that "Customer" becoming a "Business" customer.

Types of terms and update

For our users, we offer two different sorts of terms and conditions: terms for customers and terms for businesses. You might be both a customer and a business. Depending on your position on the website, different Terms and Conditions may apply. Both terms and conditions will apply to you if you are both a customer and a business, depending on your positions. Prooferr maintains the right to modify these Terms from time to time as it sees fit, at its sole discretion. You should thus read our terms each time you use our website and only use it if you agree to them.

Terms for customers

In addition to any other terms that may occasionally apply to your use of the website, the following conditions apply to Customers when using the website. Definitions are as previously stated.

Our service and limits

The goal of this website is to provide facilitation services, which means we make it easier for potential customers and businesses to connect with each other. In this line, Prooferr only obligation is to act as a facilitator of making connections between people easier; we are not held accountable for anything else. We are similar to a marketplace where individuals can mingle and possibly form connections or transact business.

Submission of inquiry

You must begin the process by using the search bar on our website in order to submit an inquiry.

You must supply specific information regarding your inquiry, your email address, your telephone number and your name as a "customer" or “potential customer” in order to generate a full inquiry.

You promise to supply the truthful, accurate, and comprehensive information requested by the Site when submitting your inquiry.

After submitting an enquiry, you must confirm that all requirements have been met before publishing it. If we publish your question, you will be notified that it has done so, and we may send emails to pertinent firms informing them of your enquiry and the information you gave us.

Your customer account

For the first time, you may send an enquiry without creating an account.

We will send you an email with a link to establish an account and access your inquiry if you don't already have one or if our system cannot connect your initial enquiry with an existing account using your email address.

If you choose to register for an account, you will be able to manage your future inquiries conveniently and deactivate or close current inquiries whenever you like.

Limitations on registration and use

You acknowledge and represent that they you are at least sixteen years old and can enter into legally binding contracts under the applicable laws by registering or making an inquiry through our website.

You are strictly prohibited from causing harm, in any way, to other users of the website.

You are also prohibited from interfering with anything in the Website unless you are given authorization from us.

You represent and warrant that you shall use your real credentials in the App and the Website. At all times, you should not conceal your identity or hold out as somebody else.

If you have already created an account or submitted an enquiry, you promise to keep your login information private. The customer additionally confirms the accuracy of the data they provide to the prooferr.com website.

You represent and warrant that you shall abide by all relevant law, including Copyright law and Privacy laws.

You represent and warrant that you shall be as professional as possible when using the Website.

You represent and warrant that you shall avoid disclosing unauthorized information

You represent and warrant that you shall avoid committing any fraudulent act in any manner, in the Website.

In the event you suffer harm from a user, feel free to report the incident to us by contacting us directly or through the Report feature in the App and the Website.

Restricted content

You are prohibited from uploading or posting anything that falls in the following category:

  1. Sexually explicit content and other content of a violent nature
  2. Content that has language which may be easily deemed offensive
  3. Defamatory and libelous content
  4. Content that transmits spam
  5. Discriminatory content that propagates vices like racism and sexism
  6. Content that infringes on any third-party rights
  7. Content that has malicious software and viruses
  8. Content that provides commercial information on other Platforms

As a person who uses this website, you must follow all national, international, state, and local laws.

We reserve the right to terminate and deactivate your account whenever we see fit.

Interaction with businesses

Your enquiry may be automatically displayed to all pertinent businesses via emails, the site, and other modes of contact like text messages once you have submitted it and we have published it. The details of your question and your name, but not your contact information, will be visible to businesses. If a company wants to get in touch with you, we'll send you an automatic message with their name and phone number so you may reach out to them. At the same time, we will also make your contact details visible to the responsive professionals and businesses.

Format of contract

Through the links on our website, you are free to contact any business or professional. Please be aware that we do not verify anyone's identity or the specifics of their business, occupation, or skill set. Therefore, it is entirely your duty to ensure that they are who they claim to be, that the information they give us is accurate, and that any professionals or representatives of businesses or organizations are qualified to provide the services you need.

You acknowledge that we did not prepare or seal the Service Agreement and do not have any need to do so. You further acknowledge that we will not assert any competing rights against Prooferr at any time prior to, during, or following the delivery of the service.

Prooferr role in the inquiry

Prooferr has the discretion to approve or disapprove any new inquiry you submit.

Additionally, Prooferr retains the right to delete or disable an inquiry at any time.

A Prooferr just acts as a conduit for communication between you and companies. Only that and nothing else is the Prooferr role.

Prooferr is not required to offer documentation proving the legitimacy of the businesses or professionals, their details, or the information they gave us.

Prooferr can take legal action against you if you give false information or do anything else that hurts the way our company works.

What can you use the site for

Our services are not intended for use by businesses or for profit. You are only permitted to use the services for home and private purposes. We are not responsible for any loss of revenue, business interruption, missed opportunity, reputational damage, or image loss.

Your reviews

Reviews contain feedback left by you, other clients, or companies (collectively, "User Reviews"). They also include comments, ratings, indicators of satisfaction, and other feedback parameters. You understand and agree that other customers and businesses may access your reviews of us or the services you may have received from a business that you post on our site as well as other websites we may link to.

We don't write reviews, so we can't be held legally responsible for what they do in some situations.

However, Prooferr reserves the right to remove posted reviews or information that, in its sole judgment, violates these terms or adversely affects the services, compromises the validity of the user review system, or is otherwise at odds with the business interests of Prooferr. This is to comply with current laws and protect public sensibilities. In order to provide, operate, and enhance the Services, you hereby give Prooferr a non-exclusive, perpetual, worldwide license to access, use, reproduce, edit, transmit, display, index, aggregate, process, and store the reviews you leave about other users of the Services.

What you can and cannot do through our website

You

  1. cannot alter the specifics of an existing inquiry 
  2. can disable your inquiry at any time
  3. can submit a new inquiry
  4. can add an image to your profile to improve it
  5. can change name, contact information, and email address
  6. can only contact the company if they are interested in doing so. You and the business will have access to each other's names, email addresses, and phone numbers for communication once the business pays to get in touch with you
  7. can provide criticism or reviews
  8. can provide feedback on the businesses

Everyone may view your reviews, including on search engines like Google. However, we reserve the right to limit specific comments or reviews.

While you are permitted to use our site, you should be aware that we only serve in the facilitator capacity that has already been mentioned. A new contract between you and the firm is required if you choose to work with them.

Restrictions on use

Except as provided in these terms, you are prohibited from:

  • Use the website and any content found on it for illegal purposes
  • Attempt to gain unauthorized access to the Website, the server on which it is stored, or any server, computer, or database connected to our Website
  • Reproduce, duplicate, copy, or sell any part of the Website or anything made available from the Website without our consent or in violation of these Terms
  • Store Website pages on a server or other storage device linked to a network; or build an electronic database by repeatedly downloading and storing information from the Website
  • Alter or remove any website content, attempt to breach security, or interfere with the correct operation of the website or the servers hosting it
  • use the website to knowingly transmit any data, send, or upload any material that contains any of the following: spyware, adware, trojan horses, worms, time bombs, keystroke loggers, or any other harmful software or similar computer code intended to negatively affect the functionality of any computer software or hardware
  • Act in any other way that is not expressly permitted by these Terms

Process of your inquiry till closure

Once you submit an inquiry, we review the formalities and, if the minimum standards are reached, we either publish your query or decline to publish it.

When we publish an enquiry, we automatically email you and all pertinent service providers and notify them through other means of the publication.

When a suitable business logs in via the Site, they will be able to access your inquiry's essential facts, including your name, but not your full contact information (phone number and email address).

Up to five Businesses will be permitted to contact and view your full contact information during the time that your query is published.

To view your contact information so that a company may get in touch with you, they will need to pay us with Credits.

When an inquiry is published, we typically automatically close it after 14 days, unless you or we have deactivated it before.

Customers can cancel their inquiries whenever they choose.

Termination

Your contract with Prooferr may be terminated at any time. You can cease using or accessing our Facilitation Services through prooferr.com at any time to end the agreement. Additionally, Prooferr retains the right to stop you from using the Site immediately if it suspects that you are doing so illegally, in a way that infringes these Terms in whole or in part, or for any other reason.

Data security

We collect information from you in order to better serve you. By sending these, you grant us permission to contact you and use your information in accordance with our privacy policy and other policies and procedures related to our facilitation services. You might also receive emails, marketing brochures, and other promotional items from us. You are free to decide whether to stop receiving our newsletters.

Warranty disclaimer

We disclaim any and all express or implied promises, guarantees, assurances, or representations that may be made in connection with this website or any of its contents.

Any loss or damage resulting from or connected with the facilitation services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not be covered by our liability to you. We specifically disclaim responsibility for a loss in sales, profits, revenue or business, interruption of business, the failure to save as planned, a loss of marketability, goodwill, or reputation or any indirect or supplementary loss or harm.

Assignment or transfer

Any attempt by you to transfer, assign, or delegate your rights or responsibilities (including your Account) under these Terms of Service without our prior written consent will be void, and you will not do so. As may be significant, we reserve the right to assign these Terms and conditions to any other company. We can move all or a portion of our business to another company or form a new company, and transfer our rights to that company or another.

Partial invalidity

The unenforceable portion of these Terms of Service will be given effect to the greatest extent permitted, and the remaining provisions will be unaffected and continue to be in full force and effect. If any portion of these Terms of Service is found to be unenforceable by a competent government authority or court of law.

Modification and waiver

No modification or waiver of any of our rights or remedies under these Terms of Service will be deemed effective unless it is made in writing and signed by a duly authorized representative. No delay or failure on our part to act in the exercise of our rights or remedies shall damage such rights or be deemed a waiver. The use of one right or remedy in full or in part does not prevent the use of another right or remedy in the future.

Use of intellectual property

Rights in Customer Content: By posting your information and other materials (collectively, "Customer Content") on or through the Site and Content, you give Prooferr a non-exclusive, perpetual, irrevocable, royalty-free, fully paid license to use, modify, reproduce, distribute, display, publish, and perform Customer Content in connection with the Site and Content. Monitoring the Site, Content, and Customer Content is permitted but not required by Prooferr. For any reason or for no reason at all, Prooferr may disable or remove any Customers Content at any time.

Unsecured Transmission of Customers' Content: You are aware that in order for Prooferr to maintain and operate the Site and Content, third party vendors and hosting partners may receive transmissions of Customers' Content that are not encrypted. As a result, you understand that you are solely responsible for the necessary security, backup, and protection of customer content. Prooferr disclaims all responsibility for any misuse, loss, or corruption of any customer content, as well as any unauthorized access to or use of customer content.

You can provide feedback on the site and its contents as well as Prooferr operations, goods, and services ("Feedback"). By providing any feedback, you acknowledge and agree that (a) you are giving it voluntarily and that Prooferr may use and exploit it however it sees fit, without any obligations or restrictions, (b) you will not ask for or be entitled to any payment or other form of remuneration, consideration, or attribution, regardless of how Prooferr uses or considers your feedback, and (c) your feedback is anonymous.

Your Representations and Warranties: You guarantee to Prooferr that your use of the Site and Prooferr possession and use of Customers’ Content in accordance with these Terms will not violate, infringe upon, or otherwise infringe upon any third party's copyright, trademark, privacy or publicity right, or other personal or proprietary right, nor will Customers Content contain any statements that are libelous, slanderous, unlawful, threatening, abusive, tortious, offensive, or otherwise objectionable.

Termination of Access Due to Violations: If Prooferr determines that you have violated these Terms or other agreements or guidelines that may be related to your use of the Site, Prooferr may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site. Additionally, you acknowledge that any breach of these Terms by you will result in Prooferr suffering irreparable harm for which monetary compensation would be insufficient, and you agree to allow Prooferr to seek any injunctive or equitable relief it deems necessary or appropriate in such cases, without limiting Prooferr other legal options. Prooferr may also suspend or terminate your access to the Site at any time for any reason, including but not limited to: (1) requests from law enforcement or other governmental agencies; (2) discontinuance or material modification of the Site or any service provided on or through the Site; or (3) unanticipated technical issues or problems. This decision will be made at Prooferr sole discretion and without prior notice.

Quality of the facilitation services

We created an auto-decision system to speed up and simplify communication, but we can't guarantee it won't make mistakes.

The significance and potential effects of this automated decision-making mechanism are that you might perceive information and other resources differently than you might anticipate. We try our best and develop the technology, but automated decisions and recommendations can still be incorrect. As a result, you should view our recommendations as non-binding and make the final decision regarding whether or not you choose to follow them. We disclaim all responsibility for inaccurate, erroneous, or deceptive business and content suggestions.

Information and confidentiality

By using the Service, you acknowledge and agree that any sensitive information about other persons that you may come into contact with while using the Service must be kept totally confidential and handled with extreme care. You are not allowed or allowed to reveal them to a third party for any reason, whether for marketing, advertising, or other uses.

The information about Prooferr that you may also be granted access to while using the Service, including any algorithms, databases, computer programs, formulae, techniques, know-how, trade secrets, graphics or images, audio or visual works, or other authorships, whether or not they are patentable or copyrighted, that you create, make, or receive. Without Prooferr written consent, you have no right to use or disclose them. You hereby represent and warrant that you will not incorporate into the Services any confidential information of any other person or entity, any material in which any other person or entity asserts any copyright, patent right, trademark, or other proprietary or intellectual property right, and any material that you know or reasonably should know contains any of these rights.

Applicable laws

The laws of United Kingdom apply to these Terms of Service, and you may file a lawsuit in German courts.

Canada’s PIPEDA compliance

For Canadian users, "Personal Information" shall have the meaning attributed to such term within the provisions of PART 1 of the Personal Information and Electronic Documents Act of Canada ("PIPEDA") and any successor legislation and any legislation of similar effect in Canada. We hereby confirm that we are in full compliance of our respective obligations under PIPEDA, and other applicable subsequent legislations.

U.S. Privacy Laws

For users within the United States, we hereby confirm that we are in full compliance of our respective obligations under any applicable privacy standards and requirements of any Federal or state law, as may be amended from time to time.

California's CCPA/CALOPPA

For users in California, the California Consumer Privacy Act (CCPA) was enacted to give consumers more control over the personal information that businesses collect about them. The California Online Privacy Protection Act, (CalOPPA), was drafted to protect the privacy rights and personal data of California residents. We hereby confirm that we are in full compliance of our respective obligations under the mentioned laws, as may be amended from time to time. Australia’s Privacy Laws

For Australian users, the Australian Privacy Act 1988 (Privacy Act) and the Australian Privacy Principles (APPs) regulates the handling of personal information about individuals. We hereby confirm that we are in full compliance of our respective obligations under the mentioned laws, as may be amended from time to time.

EU GDPR Compliance

For users in the European Union, we hereby confirm that we are in full compliance with our respective obligations under the General Data Protection Regulation, (GDPR) (EU) 2016/679. Each Party will, if applicable, notify the other Party in a timely manner in the event of a data breach that involves the other Party’s data.

Terms for businesses

The terms listed below are specific to businesses and are in addition to any other terms of use that may occasionally apply to your use of the website. Definitions are as previously stated.

Our services and limits

Your acceptance and compliance with these terms will govern your access to and use of the services we make available to you on the website. We could therefore assist you by providing facilitation services to help you find new clients if you accept these terms of service and pay the fees.

Registration and your account

You must create an account with accurate information in order to use the site as a business. This information must include your name, the services you offer, your business address, your country, your email address, your phone number, and your registered business name, among other things.

You agree to fill out the registration form and any other forms on the website with information that is true, accurate, and complete. You also agree to keep this information true, accurate, and complete by updating it as needed.

By creating a business account on the Prooferr website, you, as a professional or a company or organization representative, acknowledge and represent a person who is at least 18 years old and is able to enter into legally binding contracts under the relevant laws. If you have an account, you consent to keeping your login information private. You additionally confirms the accuracy of the data you provide to the Prooferr website. Falsifying information, such as your name, your company's name, your email address, your phone number, your business address, your contact information, or the services you provide, is prohibited when using a business account on our website. Additionally, companies are not allowed to use disconnected or fax numbers as telephone numbers. When using this website, you must obey all applicable international, federal, state, and local laws.

Your sign in details

Other than your company email address and the password for the account, you cannot enter a unique username on the site. As a business, you acknowledge that it is your obligation to protect and uphold the privacy of the login information, particularly your password, in order to access the site. You agree that we may assume that anyone accessing the website using your email address and password is either you or has your permission to act on your behalf. You agree to let us know right away if you believe the account has been used without your permission.

Update or your business information

Whenever you want, you can update your information. Your data must always be true, accurate, and traceable. Prooferr reserves the right to file a lawsuit against you if you give false information or cause us harm in any way.

Purchase and use of credits

You must purchase credits from our company in order to gain access to the full contact information of our customers. All credits must be paid in accordance with these terms. You can find out on our website how many credits you'll need to use for each individual contact information.

Any and all duties, taxes, levies, or fees (including any sales, use, or withholding taxes) imposed by or related to the use of the site by any taxing authority are solely your responsibility. You acknowledge and agree that it is solely your responsibility to ascertain which taxes may be applicable to your transactions on the site, as well as to self-report all income received to the appropriate tax authorities. The determination of any taxes that may be owed by you or on any transactions you make on the site is in no way the responsibility of our business or its third-party service providers.

Credits refund

All credits purchased are non-refundable, except as stated in the paragraph after this one. We will not, for example, offer a credit refund if the contact details we provide you with are correct but the consumer chooses not to respond to your introduction or if you are unable to secure the deal with the potential customer. The business solely reserves the right to decide whether or not you decide to select any of the potential customers we introduce them to. No credits would be refunded in these circumstances.

You can be entitled to a refund in of the following situations: A phone number we provided is invalid, such as if it states "calls are not being connected to this number"; An email address we provided to you isn't working and you get a bounce-back when using the email address; or we can confirm that the contact information provided is not for the person submitting the request.

If we provided missing or incorrect contact information, you are entitled to a refund in accordance with the terms above. However, we you agree that we will not send the credits' refund in monetary form; instead, we will reinstate them to your account on the Website.

Communication with our customers

If you buy leads contact information, you can choose to call, text, or email them.

You can try contacting a lead again if they don't respond to your initial call, email, or text message.

If a customer doesn't respond to you after three attempts to contact them, you shouldn't use the same communication channel again.

You may attempt to contact a customer up to five times overall through various channels (phone, SMS, or email), but not more than three times using the same channel.

You should wait to hear back from customers if you have contacted them five times through different channels and they have not responded. You could also let us know in this situation, and we'll send the customers a message asking them to get in touch with you.

You shouldn't try to contact potential customers again if a customer rejects your offer or won't allow you to contact them any longer.

When an enquiry is made public, it usually lasts for 14 days, unless it is deleted or turned off before then.

You shouldn't try to contact the lead again if an enquiry has been removed or deactivated for any reason, unless you already have a common arrangement.

You can't save a leads contact information or inquiry information unless you're talking to them and have a new agreement that says you can. If we have a complaint or question, you agree to show us proof that the customer gave their permission.

Right to cancel 

You can only cancel your agreement with us if there are no outstanding services for any customers, and your cancellation won't take effect until your Prooferr credits have run out. We don't have a refund policy in place, so we won't pay you back or give you a refund for any fees.

Obligations of Prooferr

Prooferr strictly exists to provide facilitation services between our customers and businesses. In this way, we only acts as a facilitator of communication between interested customers and businesses.

Irrespective of your purchase of credits, Prooferr, however, makes no assurances that such services will be free of errors or perfect at all times.

It's important to note that we have developed an auto-decision making system to make communication faster and easier and do not guarantee that our system works without errors. The significance and potential effects of this automated decision-making mechanism are that you might perceive information and other resources differently than you might anticipate. We try our best and develop the technology, but automated decisions and recommendations can still be incorrect. As a result, you should view our recommendations as non-binding and make the final decision regarding whether or not you choose to follow them. We accept no liability for incorrect, wrong or misleading lead information or content.

If you redeem credits in response to a particular inquiry, we will share with you the contact details which have been provided by a potential customer, who will then be known as "Lead," so that you can get in touch with them. The potential customers are empowered to review any responses they receive from you and other businesses, and may or may not decide to enter into a separate contract with you. If a potential customer engages you, they will become your customer.

Upon your creation of an account as a business, we may provide customers to review your performance, which could be available on the Site for any business customer and on the World Wide Web, including on search engines like Google to view. You acknowledge and agree that any reviews left represent the customers' own opinion, and that our company is not liable to you in any way whatsoever for the content of such reviews. By allowing us to use the Site, you certify that you are in compliance with all applicable laws, guidelines, and regulations in your country of residence.

Additionally, we do not control whether you will actually complete the services or transactions in an expected way. We are also not responsible in any way for the timeliness or accuracy of the invoices or the timeliness, accuracy, completion or workmanship of any work product or service produced by you as a business as a result of your engagement by a customer. Nothing in these Terms of Service shall be construed to increase or modify any warranty, liability, or indemnity provided in these Terms of Service, or to constitute us as your agent with respect to services offered by you to potential customers via the Website. If there is a problem with the performance of your services, the person may file a lawsuit against the business, which is you, directly.

Quality of the facilitation services

It is your responsibility to provide the services with the utmost care and expertise. You should be aware that even in cases where we have specified on the website that any contact will be provided within a certain amount of time, time will not be of the essence.

We don't honor any warranties, conditions, or other terms that are implied by law (whether by statute, common law, or other means) when it comes to how we perform the Facilitation Services, unless these Terms and Conditions say otherwise.
